I use VLC... it's a media player that has transcoding options... just open your file using the "advanced file open" dialog box and select the "stream/save" button and choose your formats etc. It basically acts as a frontend to the ffmpeg codec suite, which if you have patience, you can also use.. It's just quite a bit more complicated as it has no gui frontend, it's just a command line thing.
Anyways you can download VLC from http://videolan.org... even if you don't use it as a transcoder, it's an amazing player.. Plays just about every single file out there, straight out of the box, no need to download codecs or anything, it's all built in.

Just fiddled around with the newest version and realized they changed where the transcoding options are hidden...
It's still the "Advanced Open File" box, only there's this little down arrow by the play button that drops down a menu, select "Convert" from the menu.

I like Prism Video Convertor. You can get it from Download.com, and you can also choose to download the flash audio convertor with it (Which is also really good, and it can convert itunes songs to normal formats.).
